1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you") and Tech Saving Solutions ("Agency," "we," "us," or "our"), concerning your access to and use of our website www.techsavingsolutions.com (the "Site") and our agency services (collectively, the "Services").

By purchasing, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

2. Description of Services

We provide a range of digital marketing and technology services, including but not limited to:

Website Design and Management
Social Media Management
Email Marketing
AI Voice and Messaging
Reputation Management & Client Portal

The specific scope of Services, deliverables, and fees will be defined in a separate proposal or Statement of Work ("SOW") provided to you, which is incorporated into these Terms by reference.

3. Client Responsibilities

To enable us to perform our Services, you agree to:

Provide all necessary information, data, content (text, images, logos), and other materials ("Client Content") in a timely manner.
Provide all necessary access and credentials to third-party accounts ("Credentials") required for us to perform the Services (e.g., website admin, domain registrar, social media accounts).
Designate a single point of contact for timely communication, feedback, and approvals.
Review all work and provide feedback or approval promptly. Delays in feedback may shift project timelines.

4. Client Content & Legal Compliance

You are solely responsible for the legal and ethical implications of your Client Content and your business operations.

Content Warranty: You represent and warrant that you own or have all necessary rights, licenses, and permissions to use all Client Content you provide, and that such content does not infringe on the intellectual property rights of any third party.
Compliance with Laws: You represent and warrant that your use of our Services, particularly Email Marketing, AI Voice, and Messaging, will comply with all applicable laws, including but not limited to the TCPA (Telephone Consumer Protection Act) and CAN-SPAM Act.
Express Consent: You confirm that you have obtained **prior express written consent** from Your Customers to be contacted via automated SMS, email, and/or AI voice messages, as required by law.
Opt-Outs: You are responsible for promptly honoring all requests from Your Customers to opt-out or unsubscribe from communications.

5. Fees and Payment

Fees for Services will be set forth in the applicable SOW. Unless otherwise agreed in writing, all fees are non-refundable. We reserve the right to suspend or terminate Services for non-payment of invoices. All fees are exclusive of any applicable taxes.

6. Term and Termination

These Terms shall remain in full force and effect while you use the Services. Either party may terminate this agreement with [30 days] written notice. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms (e.g., non-payment, violation of law).

7. Intellectual Property

Client Content: You retain all ownership rights to your Client Content.
Agency IP: We retain all ownership rights to our pre-existing materials, tools, code, methodologies, and know-how ("Agency IP") used to create the deliverables.
Deliverables: Upon your full and final payment, we grant you a worldwide, perpetual, non-exclusive license to use the final, delivered visual design of the website or creative asset. You agree that we retain the right to use the work for our own portfolio and marketing purposes.

8. Third-Party Platforms

Our Services rely on third-party platforms (e.g., GoHighLevel, Meta, Google, email providers, telephony carriers). We are not responsible for the availability, functionality, or policy changes of these platforms. Any changes by these platforms (e.g., algorithm updates, API changes) that affect our Services are outside our control.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

IN NO EVENT SHALL TECH SAVING SOLUTIONS OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

11. Indemnification

You agree to defend, indemnify, and hold us harmless, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of:

Your breach of these Terms;
Your violation of any law or the rights of a third party (including, but not limited to, TCPA or CAN-SPAM violations);
Any claim that your Client Content caused damage to a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.
